Refunds, Money Back Guarantee, and Warranty

We value customer satisfaction and wish we could act like a billion dollar agency or venture-funded startup and provide refunds on all of our products or services.  Unfortunately, we can’t afford to give people their money back for any reason, especially after we spend money on our agents to render services and provide a finished product.  For that reason we created processes for most of our services and lay out milestones to keep you updated of what work we’ll have done at each stage.  If you request a refund at any point in the project, we will stop working immediately and only charge you for our administrative costs of the project.  We retain the right to refuse refunds for any reason, but especially if we believe they are being used fraudulently.

We have a Money Back Guarantee that only applies to promotional offer that states “Money Back Guarantee” as one of the terms, and are under $5,000.  For those offers, if within 14 days after completing the project, if you don’t love the product, we’ll take it back and split the loss by refunding you half of the project cost.  We retain the right to refuse these refunds for any reason, but especially if we believe it is being used fraudulently.

Our warranty covers code and graphics developed by Digital Chair. The Warranty is good for 60 days from production (the day your site/product is given to you or goes live) and covers errors or omissions by our staff for 60 days from production. Any code altered by the customer and/or 3rd party applications, used in your website, is outside the scope of our warranty. The accuracy of the content provided to complete the website is the customer’s responsibility, and alterations are considered change requests.

Termination

Digital Chair reserves the right, in its sole discretion, to restrict, suspend, or terminate this Agreement and your access to all or any part of the Site or the Content at any time and for any reason without prior notice or liability. Digital Chair reserves the right to change, suspend, or discontinue all or any part of the Site at any time without prior notice or liability. However, all accrued rights to payment and the terms of Section 4-12 shall survive termination of this TOS.

Disclaimer of Warranties

However, the Service, including the site and content, and all server and network components are provided on an “as is” and “as available” basis without any warranties of any kind, and Digital Chair expressly disclaims any and all warranties, whether express or implied, including, but not limited to, the implied warranties of merchantability, title, fitness for a particular purpose, and non-infringement. you acknowledge that Digital Chair does not warrant that the Service will be uninterrupted, timely, secure, error-free or virus-free, nor does it make any warranty as to the results that may be obtained from use of the Services, and no information, advice or services obtained by you from Digital Chair or through the Service shall create any warranty not expressly stated in this TOS.

Digital Chair does not endorse any third-party service provider or company mentioned on this site and is not responsible or liable for any content, data, advertising, products, goods or services available from or through any affiliated third-party service providers or companies.  Digital Chair does not guarantee success when working with third-party service providers, or that they are covered by professional liability or other insurance. Users of our service are each solely responsible for information and content they provide, as well as compliance with all applicable laws and regulations. Limitation of Liability

a.) However, the Service, including the site and content, and all server and network components are provided on an “as is” and “as available” basis without any warranties of any kind, and Digital Chair expressly disclaims any and all warranties, whether express or implied, including, but not limited to, the implied warranties of merchantability, title, fitness for a particular purpose, and non-infringement. you acknowledge that Digital Chair does not warrant that the Service will be uninterrupted, timely, secure, error-free or virus-free, nor does it make any warranty as to the results that may be obtained from use of the Services, and no information, advice or services obtained by you from Digital Chair or through the Service shall create any warranty not expressly stated in this TOS.

b.) Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply to you. In these states, Digital Chair’s liability will be limited to the greatest extent permitted by law.

In such case, you agree to cooperate with any reasonable requests assisting Digital Chair defense of such matter.

U.S. Government Matters

You may not remove or export from the United States or allow the export or re-export of the Services or anything related thereto, or any direct product thereof in violation of any restrictions, laws or regulations of the United States Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control, or any other United States or foreign agency or authority. As defined in FAR section 2.101, the software and documentation installed by Digital Chair on your Equipment (if applicable) are “commercial items” and according to DFAR section 252.227 7014(a)(1) and (5) are deemed to be “commercial computer software” and “commercial computer software documentation.” Consistent with DFAR section 227.7202 and FAR section 12.212, any use modification, reproduction, release, performance, display, or disclosure of such commercial software or commercial software documentation by the U.S. Government will be governed solely by the terms of this TOS and will be prohibited except to the extent expressly permitted by the terms of this TOS.

Assignment

You may not assign this TOS without the prior written consent of Digital Chair, but Digital Chair may assign or transfer this TOS, in whole or in part, without restriction.

Miscellaneous

If any provision of this TOS is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this TOS will otherwise remain in full force and effect and enforceable. Both parties agree that this TOS and any Additional Terms as applicable, are the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this TOS, and that all waivers and modifications must be in a writing signed by both parties, except as otherwise provided herein. No agency, partnership, joint venture, or employment is created as a result of this TOS and you do not have any authority of any kind to bind Digital Chair in any respect whatsoever. In any action or proceeding to enforce rights under this TOS, the prevailing party will be entitled to recover costs and attorneys’ fees. All notices under this TOS will be in writing and will be deemed to have been duly given when received, if personally delivered; when receipt is electronically confirmed, if transmitted by facsimile or email; the day after it is sent, if sent for next day delivery by recognized overnight delivery service; and upon receipt, if sent by certified or registered mail, return receipt requested.

Governing Law

This TOS shall be governed by the laws of the State of New York without regard to the principles of conflicts of law. Unless otherwise elected by Digital Chair in a particular instance, you hereby expressly agree to submit to the exclusive personal jurisdiction of the federal and state courts of the State of New York or the purpose of resolving any dispute relating to your access to or use of the Service.

Billing & Accounting

DCI billing of clients is authorized via contracts signed and executed by clients and returned to DCI via email.  Account billing may use credit card payments or ACH transactions.  Either (or both) credit card or (and) ACH transactions are authorized by client to be electronically debited from their account and, if necessary, electronically credited to their account to correct erroneous debits.  These authorizations are following projects agreed upon in writing or via contract.  In rare circumstances, projects may be agreed upon via phone call with established client relationships only.

Transaction specific details regarding individual transactions, payment plans, or recurring payments are provided via contract, or in writing.  In rare circumstances, they may be provided via phone call with established client relationships only.

We strive to keep the minimum information on file as possible, including not taking credit cards directly.  We use a third-party service, which helps us with PCI compliance for our credit card processing.  We also strive to adhere to NACHA standards, and in both cases, we take steps to go above and beyond where possible.  Logs are kept for past transactions, as well as email and basic transaction details for past billings.  Our third party service provider may keep additional basic logs such as IP and cookies as well.

We have invoices and receipts available for all transactions by request and are happy to provide additional information at any time, after verification of identity by the client requesting information.  We have a process for revocation of authorization which is detailed in the contract executed by the client and otherwise can be done by written notification sent by electronic mail to billing@digitalchair.com.

For all other billing or accounting related questions or comments, please email accounting@digitalchair.com.
